Brecha digital, desafección tecnológica y comunicaciones electrónicas societarias: soluciones legislativas adoptadas en el derecho de sociedades inglés

Abstract

Terms «digital divide» and «technological disaffection» refer to segments of the population that have no devise access, digital skills, or just not wanted to do without traditional means of communication. This phenomenon is no stranger to company Law and manifests itself, specially, on communications between company and its partners. This paper deals with measures adopted in english Law that, through the combination of the requirement of partner’s individual agreement and a widely recognized right to hard copy version, provide a high degree of shareholder’s protection without loss of progressive generalization of electronic communications. Currently this trouble persists in such a way that the Informal Company Law Expert Group (ICLEG) deals also with this issue and provides recommendations in this matter.
